This agreement ("Agreement") is entered into by Exciting Home Exteriors, Inc. d/b/a The Contractors With Integrity Network™ ("C-Win™") and you as a user of the website (“ContractorsWithIntegrity.com”), ("You") and You acknowledge and agree that the following terms and conditions, including the Privacy Policy posted on this website, shall govern your use of each and every page of this website and the provision of both free and subscription-only information to you by or through the website (the "Service"). C-Win™ reserves the right to revise this Agreement and/or the contents of this website at any time for any reason without notice. You further acknowledge and agree that You will be bound by any such revisions to the Agreement. For this reason, C-Win™ encourages You to periodically visit the website and review the terms and conditions of this Agreement.

C-Win™ reserves all rights afforded by the laws of the state of Washington, and of the United States, and specifically reserves its rights, claims, and defenses for any omission from the contents of this notice to users of the C-Win™ website.

Contractor (“Service Provider”) Specific
Membership in the Contractors With Integrity Network™ (C-Win™) is a privilege and per our sole discretion. We reserve the right to refuse, suspend or cancel membership to any company, contractor or person without a given reason. Why the stern language? Because we aim to improve the industries we choose to align ourselves with for both homeowners and contractors alike. We don't call it the Contractors With Integrity Network™ for effect only.

Furthermore inclusion in the C-Win™ has requirements that must be upheld at all times including but not limited to:

• LEGAL TO PERFORM SAID SERVICES – All service providers MUST remain “Legal” to perform the given and said services for the specific locations they ascribe themselves to.  It is your responsibility to notify us if your status changes at any time. If we discover you have become not “Legal” you will be permanently banned from our programs.
• FAIR PRICING – All Service Providers are required to price their services in a fair and ethical fashion according to the said market in question. Price gouging, over pricing and pricing scams (as per each market) will not be tolerated and is solely determined by us.  Violations will result in a ban from our programs until you are able to demonstrate “fair pricing” to our satisfaction.  We reserve the right not to allow you back into the program at our sole discretion and without a given reason.  Furthermore, we strongly encourage “fair pricing” and will allow a service providers return to the program to promote this concept, as per our sole discretion.
• HIGH LEVELS OF INTEGRITY – Homeowners and Service Requestors come to Service Providers to solve a problem in an honest and professional manor – not create more.  High levels of integrity are required to be a member of this program. Displaying the opposite will result in suspension and or removal from this program as per our sole discretion and without notice or a given reason.
• FREE DETAILED ESTIMATES – All resulting estimate requests (originating from us) are to be given free of charge to the homeowners (“Service Requestors”). Violations will result in suspension, removal or banned from our programs as per our sole discretion and without notice or given reason.
• NO PRESSURE TACTICS – This program is not designed for high pressure sales service providers and their tactics. Violations will result in suspension, removal or banned from our programs as per our sole discretion and without notice or given reason.

WE RESERVE THE RIGHT TO SUSPEND, REMOVE, BAN OR DENY PROGRAM INCLUSION TO ANY PERSON, GROUP OR COMPANY AS PER OUR SOLE DISCRETION AND WITHOUT NOTICE OR GIVEN REASON.  WE ARE LOOKING TO IMPROVE THE INDUSTRIES WE CHOOSE TO ALIGN OURSELVES NOT ADD TO THE PROBLEMS AT HAND.

Homeowner (“Service Requestor”) Specific
At The Contractors With Integrity Network™ we strive to not only meet your expectations but exceed them.  We will match you with service providers in your area, if any, who may be interested in fulfilling your service needs.

However, we do not guarantee that we will be able to match your service needs with a service professional or that there are service professionals in your area that either are capable or willing to complete your service needs. Although we take certain steps to examine the credentials of our listed service professionals, we make no guarantees or representations regarding the skills or representations of such service professional or the quality of the job that he or she may perform for you if you elect to retain their services. C-Win™ does not endorse or recommend the services of any particular service professional. It is entirely up to you to enter into a direct contract or otherwise reach agreement with a service professional, and we do not guarantee or warrant their performance on the job or the outcome or quality of the services performed. The service professionals are not employees or agents of C-Win™, nor is C-Win™ an agent of the service professionals. C-Win™ does not perform, and is not responsible for, any of the services requested by you in your service request. Your rights under contracts you enter into with service professionals are governed by the terms of such contracts and by applicable federal, state, provincial and local laws. Should you have a dispute with any service professional, you must address such dispute with the service professional directly, AND YOU HEREBY AGREE TO RELEASE C-WIN™ (AND OUR OFFICERS, DIRECTORS, AFFILIATES, EMPLOYEES AND AGENTS) AND ANY OTHER PERSON, FIRM, OR ENTITY (INCLUDING OUR BUSINESS PARTNERS SUCH AS A PRODUCT MANUFACTURER, PRODUCT SUPPLIER OR OTHER CONTRACTOR MATCHING PROGRAMS WHO MAY EMPLOY THE C-WIN™ MATCHING UTILITY) FROM ANY DAMAGES OR CLAIMS (INCLUDING CONSEQUENTIAL AND INCIDENTAL DAMAGES) OF EVERY KIND OR NATURE, SUSPECTED AND UNSUSPECTED, KNOWN AND UNKNOWN, AND DISCLOSED OR UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES AND YOUR DEALINGS WITH SERVICE PROFESSIONALS.

Contractor Matching – Secondary Solutions
In an effort to provide you (“the homeowner”) the free estimate(s) you have requested, we reserve the right and “may use” other service professional sources (“Business Partners / Affiliates”) to fulfill your requests in the event a direct C-Win™ Service Professional match is not found within our immediate network. These secondary sources have been hand picked and scrutinized by us and are considered the “next best option” to a matching Contractor With Integrity. As a service to you and in the event this secondary solution contractor matching option is utilized, YOU HEREBY AGREE TO PREVIOUS TERMS AND CONDITIONS AND YOU UNDERSTAND AND WILL BE NOTIFIED THAT YOUR ESTIMATE REQUEST(S) HAVE LEFT THE CONTRACTORS WITH INTEGRITY SYSTEM AND WILL BE OUTSIDE OF OUR CONTROL AND “OUR” SERVICE PROVIDER TERMS AND CONDITIONS WILL NO LONGER APPLY SINCE THE MATCHING SERVICE PROVIDERS WILL ONLY BE BOUND BY THE NEW BUSINESS PARTNERS / AFFILIATES TERMS AND CONDITIONS AS IT APPLIES TO SAID SERVICE PROVIDERS. However, should you experience any issues with this secondary solution we will do our very best to address / resolve the issue. Your respectful input is appreciated.

Termination
You may terminate this Agreement at any time by emailing C-Win™ at . C-Win™ will provide an e-mail confirmation of your cancellation to the address You designated when subscribing to the Service. C-Win™ may immediately and without notice terminate this Agreement with You and is not obligated to give a reason of any kind.

Intellectual Property Ownership
All information and content contained on or in the C-Win™ website, including but not limited to text, images, video, audio and data are owned by and proprietary to C-Win™, its vendors and/or licensors and are protected by applicable copyright, trademark and trade secret laws. All rights not expressly granted by this Agreement are reserved solely to C-Win™, its vendors and/or licensors. Except as otherwise specifically stated in this Agreement, You may not duplicate, display, distribute, sell, resell, reverse engineer, disassemble, decompile, make derivative works, or other use the information or content of this website. Any unauthorized use by You may subject you to penalties or damages. C-Win™ will enforce its intellectual property rights to the full extent of the law.

Privacy of Email Addresses / Phone Numbers / Address / Demographic Information
C-Win™ will not sell the email, phone or address list information that is compiled from submissions to this site to be used for commercial purposes. C-Win™ will occasionally send You periodic emails to aid in your requests and settings. Any demographic information provided by or about You in response to a request or inquiry by C-Win™ shall not be attributed to the individual providing it on this site.

Some of the pages requiring information are certified as Secure Sockets Layer (SSL) pages as designated. C-Win™ appreciates the importance of providing a secure environment on its website for the purpose of providing personal information to process requests and applications, and will take all reasonable and customary steps to protect the information You provide. Indemnification
You agree to indemnify and hold harmless C-Win™, its officers, directors, agents and employees against any asserted claims or suits made by any third party for any and all damages, losses, judgments or liabilities (including but not limited to reasonable attorneys' fees) arising from or relating to: (i) any actual or alleged breach of this Agreement by You (ii) any content, data or material that you submit, post or otherwise provide to C-Win™ or on this website.

Unlawful Content and Behavior
You acknowledge and agree that you will not post or transmit to this website any pornographic, obscene, profane, defamatory, libelous, threatening, unlawful or other materials which could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law or regulation. Notwithstanding the fact that C-Win™ or other parties may be involved in creating, producing or delivering this website, may monitor or review transmissions, postings, or discussions, C-Win™ assumes no responsibility or liability which may arise from such content, including but not limited to claims for defamation, libel, slander, obscenity, pornography, profanity or misrepresentation.

Application of Laws

You agree that in the event that any dispute arises under this Agreement or your other use of this website or the Service, the laws of the State of Washington shall apply without resort to its choice of law provisions or rules. You also agree to submit to the personal jurisdiction of the state and federal courts located in Clark County, Washington and further agree that the states and federal courts located in Clark County , Washington shall be the exclusive venue for the resolution of any dispute between C-Win™ and You.

Entire Agreement
This Agreement is the entire agreement and supersedes and cancels all previous written and oral agreements and communications relating to the subject matter of this Agreement.

No Waivers
No failure to exercise, and no delay in exercising, on the part of either party, any privilege, any power or any rights hereunder will operate as a waiver thereof, nor will any single or partial exercise of any right or power hereunder preclude further exercise of any other right hereunder. No waivers or amendments shall be effective unless made in writing and signed by a duly authorized representative of C-Win™.

Severability
If any part of this Agreement shall be adjudged by any court of competent jurisdiction to be invalid, such judgment will not affect or nullify the remainder of this Agreement.
